Welcome to HeyApex, operated by Styley AI Inc. and Media Magic Apps Inc. (collectively, "HeyApex," "Company," "we," "us," or "our"). HeyApex is an AI-powered platform designed for real estate professionals, mortgage professionals, and commission-based service providers to automate lead nurturing, manage drip campaigns, generate marketing content, create and select images, send automated emails and SMS messages, generate social media posts, and streamline client services.
By clicking "I Agree," creating an account, or using the Services in any manner, you ("User," "Client," "you") acknowledge that you have read, understood, and voluntarily agreed to be bound by these Terms and Conditions ("Terms"). This agreement is effective upon your acceptance and remains in effect for as long as you use the Services.
IMPORTANT: HeyApex is an integrator, not the provider, of the underlying artificial intelligence or messaging services. The Services rely on third-party large language models ("LLMs"), AI image generation services, APIs, email delivery infrastructure, SMS gateways, social media APIs, and telecommunications infrastructure that we do not own, operate, or control.
We integrate these third-party technologies to provide a unified platform. As an integrator, we do not have direct control over model behavior, updates, degradations, content filtering, output quality, image generation, or the availability of any third-party service. Changes to third-party AI models or APIs may occur without notice to us.
ARTIFICIAL INTELLIGENCE IS INHERENTLY UNPREDICTABLE. AI-generated messages, content, images, and outputs may be inaccurate, incomplete, misleading, inappropriate, off-tone, offensive, or entirely wrong. The AI may misinterpret context, fabricate information ("hallucinate"), produce responses you did not intend or authorize, generate images that resemble third-party copyrighted works or real individuals, or create content that violates applicable laws or regulations.
WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, APPROPRIATENESS, ORIGINALITY, LEGALITY, OR FITNESS OF ANY AI-GENERATED CONTENT, IMAGES, OR OUTPUTS.
HEYAPEX IS A SOFTWARE-AS-A-SERVICE (SAAS) PLATFORM. HEYAPEX IS NOT A REAL ESTATE BROKER, MORTGAGE BROKER, LOAN ORIGINATOR, INSURANCE AGENT, FINANCIAL ADVISOR, OR ANY OTHER LICENSED SERVICE PROVIDER. HeyApex does not participate in, facilitate, or earn compensation from any real estate transaction, mortgage origination, insurance sale, or any other transaction between you and your clients.
HeyApex charges for its Services on one or more of the following bases:
HEYAPEX DOES NOT CHARGE, COLLECT, OR RECEIVE FEES ON A PERCENTAGE BASIS, COMMISSION BASIS, OR ANY OTHER COMPENSATION STRUCTURE THAT IS CALCULATED AS A PERCENTAGE OF A TRANSACTION, SALE, LOAN AMOUNT, PREMIUM, OR OTHER CLIENT-FACING REVENUE. HeyApex's fees are solely for the use of its software platform and AI-powered tools.
HeyApex does not pay or receive referral fees, finder's fees, kickbacks, or any other form of transaction-based compensation. Nothing in these Terms shall be construed as establishing a referral relationship, co-brokerage arrangement, or any compensation arrangement requiring licensing under RESPA, state real estate commission rules, the SAFE Act, Dodd-Frank Act, or any other applicable law.
You are solely responsible for maintaining all licenses, registrations, and certifications required by applicable law for your professional activities. HeyApex does not verify, guarantee, or assume responsibility for your licensing status. If your license is suspended, revoked, or expires, you must immediately cease using the Services for any activity that requires such license.
BEFORE USING THE SERVICES, PLEASE READ THIS AGREEMENT CAREFULLY. BY USING THE SERVICES IN ANY MANNER, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
The Services are offered subject to these Terms and any other policies HeyApex may publish. By using the Services, you also consent to our Privacy Policy. HeyApex may modify these Terms at any time; continued use constitutes acceptance.
Paid services require a subscription plan that auto-renews in U.S. dollars. Features and pricing subject to change. You must provide accurate information including real estate license details. All sales are final and nonrefundable. HeyApex may issue credits at its sole discretion. Fees do not include taxes; you are responsible for all applicable taxes. Late payments may result in suspension. You are solely responsible for account security and all activity under your account. Cancel anytime; no refunds for amounts already billed.

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, EDITING, AND APPROVING ALL AI-GENERATED CONTENT BEFORE IT IS SENT, PUBLISHED, DISTRIBUTED, OR ACTED UPON.
Any content sent or published through the Services — whether reviewed by you or not — is your content. You accept full responsibility for all communications transmitted on your behalf. You represent and warrant that all Client Content you provide: (a) you own or have all necessary rights to; (b) does not infringe any third party's rights; (c) complies with all applicable laws; and (d) includes all necessary consents, licenses, and releases.
WE STRONGLY RECOMMEND MAINTAINING HUMAN-IN-THE-LOOP REVIEW FOR ALL OUTBOUND COMMUNICATIONS.
BY ENABLING ANY AUTONOMOUS OR SEMI-AUTONOMOUS WORKFLOW, YOU EXPRESSLY:

HeyApex respects the intellectual property rights of others. Notices of copyright infringement claims should be sent to legal@heyapex.ai. Repeat infringers may be terminated.
All HeyApex Content is owned or licensed by HeyApex. You receive a non-exclusive, limited, revocable license for professional use only. AI-generated Outputs are not warranted as unique, original, or protectable. AI-generated images may resemble existing works.
HeyApex actively monitors and enforces its IP rights. You shall not reverse-engineer, decompile, remove IP notices, or sublicense any part of the Services.
Any data, content, messages, contacts, images, or materials you upload, input, or transmit through the Services becomes the property of Styley AI Inc. and Media Magic Apps Inc.
You receive a non-exclusive, revocable, non-transferable license to use your uploaded content within the Services during your active subscription. License terminates on account termination with a 30-day export window.
By submitting content to the Services, you grant HeyApex a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your content for operating, maintaining, improving, developing, marketing, and promoting the Services. This license survives termination of your account.
If you provide any feedback, suggestions, ideas, or feature requests, you hereby assign to HeyApex all right, title, and interest in such Feedback. HeyApex may use, implement, modify, and commercialize Feedback without attribution, compensation, or obligation to you.
Data security is a shared responsibility. You are responsible for account credentials, configurations, consent collection, monitoring, and incident reporting.
THE COMPANY ENTITIES SHALL NOT BE LIABLE FOR: data issues arising from third-party systems; security incidents caused by your failures; prompt injection attacks or adversarial manipulation; data uploaded in violation of privacy laws; or inherent risks of internet transmission.
Nothing in this section limits HeyApex's obligations under mandatory breach notification laws.
In the course of using the Services, you may receive or have access to non-public information regarding HeyApex's business, technology, pricing, system architecture, AI configurations, prompt templates, workflows, beta features, roadmap, and other proprietary information ("Confidential Information"). You agree to: (a) use Confidential Information only for the purpose of using the Services; (b) take reasonable measures to protect it; (c) not disclose it to any third party without prior written consent; and (d) not use it to develop competing products.
This confidentiality obligation survives termination for three (3) years.
You shall not use the Services, HeyApex Content, AI configurations, prompt templates, workflow designs, system architecture, or any Confidential Information to develop, market, operate, or contribute to any product or service that competes with HeyApex; or use AI-generated Outputs to train, fine-tune, or develop any competing artificial intelligence model.
You shall not attempt to circumvent, bypass, or disable any technical measures, rate limits, safety mechanisms, content filters, or other protections implemented in the Services, including through jailbreaking, prompt injection, or similar techniques.
You shall not use the Services for:
You represent and warrant that: (a) you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions or embargoes; (b) you are not on any U.S. government restricted party list; and (c) your use of the Services complies with all applicable export control laws. HeyApex may suspend or terminate access if it reasonably believes you are in violation of this section.
AI-GENERATED CONTENT IS FOR INFORMATIONAL AND MARKETING SUPPORT ONLY AND DOES NOT CONSTITUTE: a professional appraisal, BPO, or CMA; legal advice; financial, investment, or tax advice; a loan estimate, pre-qualification, or pre-approval; or a substitute for independent professional judgment. You must independently verify all information.
You may not:
HeyApex reserves the right, in its sole discretion, to modify, suspend, or discontinue any or all of the Services at any time, with or without notice, and without liability to you. This includes the right to change AI models, features, integrations, usage limits, pricing (effective at next renewal), or third-party providers. No modification, suspension, or discontinuation of the Services shall constitute a breach of this agreement.
Beta Features are provided "AS IS" and "AS AVAILABLE" with even greater inherent risk. You acknowledge that Beta Features may be incomplete, contain bugs, be modified or discontinued at any time, and data may be lost. All disclaimers, liability limitations, and indemnification provisions apply with full force. By using Beta Features, you consent to providing Feedback that HeyApex may use without restriction.
By providing your mobile phone number and opting in, you consent to receive text messages from HeyApex to your mobile device. These messages may include:

HeyApex reserves the right to suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your license to the Services immediately terminates. You have thirty (30) days to export your data. After the export period, HeyApex may delete all data.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT ACCURACY, ORIGINALITY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. THE COMPANY ENTITIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) AMOUNTS PAID IN THE THIRTY (30) DAYS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00). THIS APPLIES TO ALL CLAIMS IN AGGREGATE. IN NO EVENT SHALL THE COMPANY ENTITIES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. YOU ACKNOWLEDGE THIS IS A MATERIAL TERM WITHOUT WHICH HEYAPEX WOULD NOT PROVIDE THE SERVICES.
You agree to indemnify the Company Entities from all claims arising from: your use of the Services; any content sent through the Services; Client Content; violation of these Terms or law; violation of third-party rights; disputes with recipients; failure to review AI content; failure to obtain consents; data uploaded in violation of privacy laws; unauthorized use of AI outputs for licensed professional advice; and your negligence or misconduct.
HeyApex indemnifies you from claims that its proprietary platform technology (excluding Client Content, AI Outputs, third-party components, and autonomous workflow content) directly infringes a valid U.S. patent, copyright, or trade secret, subject to notice, control, and cooperation requirements.
PLEASE READ THIS SECTION CAREFULLY — IT MAY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and HeyApex agree to first attempt to resolve disputes in good faith for 60 days before pursuing formal proceedings.
AAA Commercial Mediation in Montgomery County, Maryland. Costs shared equally. Sixty-day limit.
AAA Consumer Arbitration Rules, sole arbitrator, Montgomery County, Maryland. Maryland law applies. Award is final and binding.
Notwithstanding the foregoing, HeyApex may seek injunctive relief in any court to protect IP, confidential information, or trade secrets; file suit to enforce IP rights or collect unpaid fees; or pursue any legal remedy to protect against misappropriation.
YOU AND HEYAPEX EACH WAIVE THE RIGHT TO A JURY TRIAL AND CLASS ACTIONS. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.
Laws of the State of Maryland, without regard to conflict of law principles.
Apple: These Terms are between HeyApex and you; Apple is not a party. The license is limited to personal, non-commercial use on authorized Apple devices. Apple has no obligation for maintenance or support. Apple is a third-party beneficiary.
Google Play: Google Play terms prevail in conflicts. Google has no liability for compliance.
These Terms, Privacy Policy, and any Order Forms constitute the entire agreement and supersede prior communications.
Neither party is liable for events beyond reasonable control, including third-party AI disruptions.
You may not assign these Terms. We may freely assign them.

By clicking "I Agree," you confirm you have read, understood, and voluntarily agreed to all Terms. HeyApex stores a timestamped record of acceptance including user identifier, IP address, version accepted, and date/time.
HeyApex recommends maintaining appropriate professional liability (E&O) and cyber liability insurance coverage for your professional activities, including coverage for technology-assisted content, automated communications, and data processing.
